Terms of Service

1. Acceptance of these terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "User") and the operator of Orakyl (the "Service") governing your access to and use of the Service. By creating an account or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

The Service is operated as a sole proprietorship based in Bangalore, India; no separate legal entity has been incorporated. References in these Terms to "Orakyl", "we", "us", or "our" refer to that operator.

2. Description of the Service

Orakyl is a personal-assistant service accessed by the User through messaging applications, currently WhatsApp and Telegram. The Service responds to User-initiated requests by performing tasks such as answering questions, drafting messages, retrieving and summarizing documents, scheduling, and interacting with third-party services that the User has connected.

The Service utilizes third-party large language models (currently Claude, supplied by Anthropic, PBC) to generate responses. Such models are probabilistic and may produce inaccurate, incomplete, or otherwise erroneous outputs. The User shall not rely on outputs of the Service for medical, legal, financial, or other decisions of consequence without independent verification by a qualified professional.

3. Eligibility

You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms in the jurisdiction in which you reside. The Service is not intended for and may not be used by individuals under the age of eighteen.

4. Account registration

Access to the Service requires authentication through a Google account. You are responsible for safeguarding your authentication credentials and for all activities conducted through your account. You shall promptly notify us at mukundmr95@gmail.com of any unauthorized access to or use of your account.

You may revoke Orakyl's access to your Google account at any time through your Google security settings. You may request deletion of your Orakyl account at any time by writing to mukundmr95@gmail.com.

5. Acceptable use

You agree that you shall not, and shall not permit any third party to:

  • use the Service in any manner that violates applicable law or the rights of any third party;
  • transmit unsolicited commercial communications, phishing communications, or content that harasses, threatens, or otherwise harms any person;
  • generate or transmit content with the intent to defraud, deceive, or impersonate another person or entity in a manner likely to cause harm or confusion;
  • reverse-engineer, decompile, scrape, or attempt to derive the source code of the Service, or interfere with or disrupt its operation;
  • attempt to access data belonging to another User or to gain unauthorized access to any portion of our infrastructure;
  • utilize the Service for high-volume commercial workloads without our prior written consent.

We reserve the right to suspend or terminate your access to the Service for any violation of this Section 5. Where reasonably practicable, we will provide prior notice of such action; in the case of serious or ongoing abuse, suspension may be effected without notice.

6. Drafts and User authorization for actions

For any operation that effects a change in a connected service — including, without limitation, sending an email, creating or modifying a calendar event, editing a document, or generating an image — the Service will present a draft preview to the User and await the User's explicit confirmation before executing the operation. The User is solely responsible for the content, accuracy, and consequences of any operation that the User authorizes. Authorized operations may be irreversible (for example, an email, once sent, cannot be unsent).

7. Service availability

The Service is provided in an early-access stage. We make no representation or warranty as to the availability, uptime, response time, or feature completeness of the Service. Features of the Service may be added, modified, suspended, or removed at our sole discretion and without prior notice.

8. Fees

The Service is currently offered free of charge during this early-access period. We reserve the right to introduce paid-tier offerings at a future date. Any introduction of fees applicable to existing accounts will be communicated to affected Users with reasonable advance notice.

9. User Content

As between the User and Orakyl, the User retains all rights, title, and interest in and to all content the User submits to the Service, including messages, documents, images, and voice recordings (collectively, "User Content").

The User hereby grants Orakyl a non-exclusive, worldwide, royalty-free, fully paid-up license to host, store, transmit, reproduce, modify, and process User Content solely to the extent necessary to operate and provide the Service to the User, including by transmitting User Content to the sub-processors described in our Privacy Policy. We will not use User Content to train artificial intelligence models or for any purpose other than operating the Service for the benefit of the User.

10. Third-party services

The Service integrates with third-party services, including Google, Anthropic, Groq, fal.ai, Meta Platforms, Telegram, Supabase, and Vercel. The User's use of such third-party services is governed by the terms of service and privacy policies of those providers. We disclaim all responsibility for the availability, performance, security, and data-handling practices of any third-party service.

11. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Outputs generated by artificial-intelligence systems may be inaccurate, incomplete, or otherwise unreliable. The User is solely responsible for verifying the accuracy and suitability of any output before relying on it.

12. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall the operator of the Service be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including, without limitation, damages for loss of profits, loss of revenue, loss of data, business interruption, or loss of goodwill, arising out of or in connection with the User's use of or inability to use the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

The aggregate cumulative liability of the operator of the Service for any and all claims arising out of or in connection with the Service shall not exceed the greater of (a) the amount actually paid by the User to Orakyl in the twelve (12) months preceding the event giving rise to the claim, or (b) one thousand Indian Rupees (₹1,000).

13. Indemnification

The User shall defend, indemnify, and hold harmless the operator of the Service from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with (i) the User's misuse of the Service, (ii) the User's violation of these Terms, or (iii) the User's violation of applicable law or the rights of any third party.

14. Termination

The User may discontinue use of the Service and request deletion of the User's account at any time. We may suspend or terminate the User's access to the Service for violation of these Terms or upon discontinuation of the Service. Provisions of these Terms that by their nature are intended to survive termination — including, without limitation, Sections 9 (User Content), 11 (Disclaimer of warranties), 12 (Limitation of liability), 13 (Indemnification), and 17 (Governing law and dispute resolution) — shall survive any termination of these Terms or your use of the Service.

15. Modification of these Terms

We reserve the right to modify these Terms from time to time. Material modifications will be communicated to the User through the messaging application the User uses to access the Service, with at least fourteen (14) days advance notice prior to the effective date. The User's continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

17. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles. The courts located at Bangalore, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and the User irrevocably submits to the personal jurisdiction of such courts.
